Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Collab governing your use of the Collab website and related services (the "Service").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.


2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business (for example, as a Brand), you represent that you are authorized to bind that business to these Terms.


3. What Collab Is, and Is Not

Collab is an online marketplace and venue that helps Brands and Creators discover each other, communicate, agree on collaborations, and process payments for those collaborations.

Collab is not a party to the agreements made between Brands and Creators. When a Brand and a Creator agree to a collaboration, that is a contract between them, not with Collab. Collab does not employ Creators, does not act as an agent for either party, and does not direct, supervise, or control the content, services, or deliverables exchanged.

You understand and agree that:

  • Collab does not guarantee that any Brand will hire any Creator, or that any Creator will accept any offer.
  • Collab is not responsible for the performance, quality, timing, legality, or outcome of any collaboration.
  • Brands and Creators are solely responsible for their own dealings, including agreeing on scope, deliverables, content usage rights, and compliance with applicable advertising and disclosure laws (such as FTC endorsement guidelines).

4. Accounts

You agree to provide accurate, current, and complete information when registering and to keep it updated. You are responsible for all activity under your account and for keeping your password secure. Notify us immediately of any unauthorized use. You may not create more than one account, transfer your account, or impersonate any person or business.


5. Creator Terms

Verification and accuracy of data. Creators may submit revenue and performance data (such as TikTok Shop GMV, views, and follower counts) to obtain a verified status. You represent and warrant that all data you submit is true, accurate, and your own, and has not been altered or fabricated. Submitting false, misleading, or manipulated data is a material breach of these Terms and may result in immediate removal of verification, suspension, or termination.

You acknowledge that verification is currently based on materials you submit and our review of them, and that a verified badge reflects our review of submitted materials, not an independent guarantee, audit, or certification of your sales or performance.

Collaborations. You are responsible for delivering the content and services you agree to, on the terms you agree to with a Brand. You are responsible for complying with all applicable laws, including disclosure of sponsored content.

Tax responsibility. You are an independent party, not an employee of Collab. You are solely responsible for reporting and paying any taxes on amounts you earn. Payouts and tax forms are handled through our payment processor where applicable.


6. Brand Terms

You are responsible for the accuracy of your campaigns, briefs, budgets, and offers, and for paying agreed amounts and applicable fees. You agree to deal fairly with Creators and to honor the terms you offer. You are responsible for complying with all applicable advertising, marketing, and disclosure laws, and for securing any content usage or licensing rights directly from the Creator as part of your agreement.

You understand that verified statistics reflect a Creator's submitted data as reviewed by Collab and are not guaranteed by Collab, and that hiring decisions and outcomes are your own responsibility.


7. Fees and Payments

Service fee. Collab is free to join and to browse. Collab charges a service fee of approximately 10% on the value of a closed deal. Unless stated otherwise at the time of a transaction, this fee is charged in addition to the Creator's rate (so the Creator receives the amount they negotiate, and the Brand pays the Creator's rate plus the Collab fee). The exact fee applicable to a transaction will be shown before the transaction is completed. We may change our fees prospectively; changes will not affect deals already agreed.

Payment processing through Stripe. All payments, escrow, and payouts are processed by Stripe, our third-party payment processor. By transacting on the Service, you agree to the Stripe Connected Account Agreement and Stripe's terms and privacy policy. Creators who receive payouts must onboard and maintain a connected Stripe account and provide accurate information to Stripe. Collab is not a bank, money transmitter, or payment institution; Stripe is the regulated processor that moves funds.

Escrow and release. Depending on the transaction, a Brand may fund a deal before work proceeds. Funds are handled by the payment processor and released according to the terms of the deal and the rules of the Service. You authorize Collab and its payment processor to deduct the applicable Collab fee from the relevant transaction.

Payment timing and settlement. You acknowledge that bank-based payments may take several business days to settle and that payouts may be subject to holds or delays for settlement, fraud review, or compliance reasons.

Refunds, disputes, and chargebacks. Refunds and disputes between Brands and Creators are governed by the terms the parties agree to and the dispute process Collab makes available. Because collaborations are agreements between Brands and Creators, Collab does not guarantee refunds and is not responsible for the underlying performance of a deal. If a payment is reversed, charged back, or disputed, you remain responsible for amounts owed, and we may suspend payouts or take other action pending resolution. You agree not to initiate chargebacks without first attempting to resolve the issue through the Service.


8. On-Platform Conduct

You agree to keep collaboration communications and payments on the Service. Attempting to circumvent the Service to avoid fees (for example, by arranging payment off-platform after meeting through Collab) is prohibited and may result in suspension or termination.

You also agree not to:

  • Post false, misleading, fraudulent, or fabricated information (including manipulated revenue data);
  • Harass, threaten, defame, or abuse other users;
  • Infringe anyone's intellectual property or other rights;
  • Upload malware or attempt to disrupt or gain unauthorized access to the Service;
  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Scrape, harvest, or collect data about users except as permitted by the Service.

9. Content and Intellectual Property

Your content. You retain ownership of content you submit to the Service (such as profile content, portfolio media, and messages). You grant Collab a non-exclusive, worldwide, royalty-free license to host, display, and use that content as necessary to operate and promote the Service.

Content created in collaborations. Ownership and usage rights for content a Creator produces for a Brand are determined by the agreement between the Creator and the Brand, not by Collab. The parties are responsible for defining licensing and usage rights in their deal.

Collab's property. The Service itself, including its software, design, logos, and the "Collab" name and branding, is owned by Collab and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from it without our permission.


10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, create risk or legal exposure for us, or for any other reason at our discretion. Provisions that by their nature should survive termination (including fees owed, disclaimers, limitations of liability, and dispute resolution) will survive.


11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Collab does not warrant that the Service will be uninterrupted, secure, or error-free, that any information (including verified statistics submitted by Creators) is accurate, or that any collaboration will meet your expectations. You use the Service, and engage with other users, at your own risk.


12. Limitation of Liability

To the maximum extent permitted by law, Collab will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service or any collaboration, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Collab's total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the total fees Collab earned from your transactions in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.


13. Indemnification

You agree to indemnify, defend, and hold harmless Collab from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your content; your collaborations or dealings with other users; your violation of these Terms; or your violation of any law or the rights of any third party.


14. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.


15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.


16. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Collab regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
